These Terms of Service (“Terms”) govern your use of yardave.com and any quotation, order, or supply arrangement with YardAve, the trading brand of Jinhua Lehe Metal Products Co., Ltd. (“YardAve,” “we,” “us,” or “our”). We manufacture and supply outdoor products, including raised garden beds, planters, garden sheds, privacy screens, aluminum pergolas, carports, greenhouses, storage boxes, and trash can enclosures, for distributors, wholesalers, contractors, and other buyers. Please read these Terms carefully. By submitting a quotation request, placing an order, or otherwise using our site, you agree to be bound by them.

01

Acceptance of Terms

By accessing yardave.com or dealing with us in any way, including browsing the catalog, submitting a quotation request, contacting our team, or confirming an order, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, please stop using the site and do not place an order.

These Terms apply to all visitors and buyers. Where you and YardAve sign a separate written agreement, such as a supply agreement, OEM/ODM agreement, or a signed sales contract or proforma invoice, that agreement prevails over these Terms to the extent of any conflict.

02

Parties & Eligibility

yardave.com is operated by Jinhua Lehe Metal Products Co., Ltd.. Our products and services are offered primarily to businesses, including importers, distributors, wholesalers, retailers, contractors, and brand owners. We also accept enquiries from individual buyers, subject to the terms of the applicable written quotation.

You must be at least 18 years old and legally able to enter into a binding contract. If you contact us on behalf of a company, you confirm that you are authorized to bind that company to these Terms and that the business information you give us is accurate and current.

We may decline an enquiry, refuse an order, or suspend dealings at our reasonable discretion, including where we suspect fraud, where required by trade sanctions or export control law, or where a buyer has failed to pay amounts due.

03

Quotations & Order Confirmation

yardave.com is a product showcase and enquiry site. It does not operate an online cart or automatic checkout. Products are sold through a written quotation process, which generally works as follows:

  1. Quotation request. You send us your product requirements, quantity, drawings or specifications, customization needs, and destination through our quotation form or by email. Product pages, catalog prices, and specifications are for general reference and are not an offer to sell.
  2. Written quotation. We respond with a quotation that states price, specification, quantity, trade terms, payment terms, and estimated lead time. A quotation remains valid for the period it states or, if none is stated, for 15 days from its date, unless we withdraw it earlier in writing.
  3. Order confirmation. A binding contract is formed only when you accept the quotation in writing and we confirm the order in writing, typically by issuing a proforma invoice or sales contract, and we receive any required deposit. Your order is then subject to these Terms and to the confirmed order documents.

If we discover a pricing, specification, or calculation error before an order is confirmed, we may correct it and will contact you before proceeding if the correction materially changes the price or scope.

04

Pricing, Payment & Trade Terms

Prices are stated in the currency shown on the quotation, which is normally U.S. dollars. Unless the quotation says otherwise, prices exclude freight, insurance, import duties, customs clearance, taxes, and other charges arising in the destination country, and any bank charges on your side.

  • Payment terms. Payment method, deposit, and balance schedule are agreed individually and stated in the quotation or proforma invoice. For custom and bulk production orders, a deposit is typically required before production begins, with the balance payable before shipment or as otherwise agreed in writing.
  • Trade terms. Delivery terms are stated in the quotation using the applicable Incoterms® rule, such as EXW, FOB, CFR, or CIF, and determine who bears freight, insurance, and risk at each stage.
  • Payment method. We accept the payment methods stated in the quotation. Payment made through third-party banks or services is subject to their own terms and fees.
  • Price changes. Prices may change for future quotations, including due to raw material, exchange rate, or freight cost changes, but will not change for an order already confirmed in writing, except as described in Section 3.
  • Late payment. We may suspend production or shipment, or re-price or cancel an order, if agreed payments are not received on time.
05

Production & Lead Times

Estimated production and delivery times given on our site, in a quotation, or by our team are good-faith estimates based on current capacity, order volume, and material availability. They are not guaranteed delivery dates. The production clock generally starts once we have received your deposit and all specifications, drawings, artwork, and approvals needed to begin.

We will make reasonable efforts to notify you of any significant delay. We are not liable for delays caused by events outside our reasonable control, including raw material shortages, natural disasters, epidemics, government action, port congestion, carrier disruption, power restrictions, or changes to your specifications. Such delays do not entitle you to cancel a confirmed order except as stated in our Refund Policy.

06

Shipping, Delivery & Risk of Loss

Shipping is arranged according to the trade terms in your confirmed order. In general:

  • We prepare and pack goods for export in accordance with the confirmed order. Packaging cost, labeling, and any special packing requirements are as stated in the quotation.
  • Where you appoint your own freight forwarder, you are responsible for booking on time and notifying us of the pickup details. Where we arrange shipping, we act in accordance with the agreed trade term and may use carriers and forwarders of our choice.
  • Risk of loss or damage passes to you as set out by the applicable Incoterms® rule in your confirmed order. If no rule is stated, risk passes when the goods are loaded onto the first carrier at our facility or port of loading (equivalent to FOB).
  • You are responsible for import licenses, customs clearance, duties, taxes, and any inspection or certification required in the destination country, unless the quotation states otherwise.
  • Shipping dates and transit times are estimates only. Where goods are delivered to a final address, you are responsible for providing an accessible delivery location and an authorized recipient; redelivery or storage charges arising from failed delivery are for your account.
  • Please inspect goods promptly on receipt and report any shortage or damage as described in our Refund Policy.
07

Installation & Local Compliance

YardAve is a manufacturer and supplier. Unless installation is expressly included in a written quotation, we do not provide on-site installation, assembly, foundation or groundwork, or any electrical or plumbing connection for products such as sheds, pergolas, carports, or greenhouses. Assembly instructions, where supplied, are for reference.

You are responsible for arranging qualified installation, whether through your own team, a licensed contractor, or a third-party installer, and for making sure the products and their installation comply with the building codes, permit requirements, safety standards, and property restrictions that apply where they are used. Buyers who resell our products or supply them to end users are responsible for passing on relevant installation and safety information.

08

09

Intellectual Property & Customer Designs

All content on yardave.com, including product photography, drawings, specification sheets, text, logos, the YardAve name and brand, and the site’s design, is owned by Jinhua Lehe Metal Products Co., Ltd. or its licensors and is protected by copyright, trademark, and other laws. Customer designs and OEM/ODM projects. If you supply drawings, artwork, logos, or specifications for a custom or private-label order, you confirm that you own them or have the right to use them, and that our manufacture and your sale of the resulting products will not infringe any third party’s rights. Unless agreed otherwise in writing, we keep our own pre-existing designs, tooling, molds, and manufacturing know-how. We will keep your confidential drawings and specifications confidential and will use them only to fulfill your order.

11

Warranties

Any product warranty is stated in the quotation, on the relevant product page, or in your order documents, and varies by product category and material. Unless a written warranty says otherwise, we warrant that goods will conform to the confirmed specification and be free from manufacturing defects in material and workmanship under normal use for the warranty period stated in your order documents.

This warranty does not cover damage caused by improper installation, unsuitable foundations or site conditions, misuse, lack of maintenance, alteration, normal wear, corrosion from environmental exposure beyond normal use, or extreme weather. Except for the express warranty above, and to the fullest extent permitted by applicable law, all other warranties, whether express or implied, including any implied warranty of merchantability or fitness for a particular purpose, are excluded. Remedies for confirmed defects are described in our Refund Policy.

12

Limitation of Liability

To the fullest extent permitted by law, YardAve and Jinhua Lehe Metal Products Co., Ltd. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, revenue, business, or goodwill, arising from your use of our site or products, even if advised of the possibility of such damages.

Our total liability arising from any order will not exceed the amount you paid us for the specific goods giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.

13

Indemnification

You agree to indemnify and hold harmless Jinhua Lehe Metal Products Co., Ltd., its directors, officers, employees, and partners from any claim, loss, or expense, including reasonable legal fees, arising from your misuse of our site, your breach of these Terms, your infringement of any third-party right through designs, artwork, or specifications you provide, or your resale, installation, or use of our products in breach of applicable law.

14

Governing Law & Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them or any order, are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

Any dispute that cannot be resolved through good-faith negotiation will be finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its Administered Arbitration Rules in force when the notice of arbitration is submitted. The seat of arbitration will be Hong Kong, the language will be English, and the tribunal will consist of one arbitrator unless the parties agree otherwise.

Nothing in this Section limits any mandatory consumer protection right that you may have under the laws of your country of residence and that cannot be waived by contract, nor prevents either party from seeking urgent interim relief from a court of competent jurisdiction.

15

Changes to These Terms

We may revise these Terms from time to time to reflect changes in our products, processes, or applicable law. Updates take effect when posted on this page, and the effective date is revised accordingly. Continued use of our site, or placement of a new order after changes take effect, constitutes acceptance of the revised Terms. Changes do not apply retroactively to an order confirmed before the update.
